Terms of Business for Esecutive Search. Advertising and Selection

1. Fees

1.1 The fee of each assignment will be agreed with the client prior to commencement. The fee for each placement shall be the total assignment fee divided by the number of placements in each assignment unless specific placement fees have been agreed.

1.2 Where a client has instructed us to proceed and then terminates the assignment our fee will be calculate in line with the work done. Where the cancellation occurs after presentation of a short list the full is payable.

1.3 Where a client, without prior agreement, appoints additional candidates from the short list details, a further fee equal to the appropriate placement fee is payable.

2. Expenses

2.1 The client will be responsible for reimbursing our out-of pocket expenses which will include candidates out-of-pocket expenses including (without prejudice to the generality of the foregoing) travel, hotel, and entertainment expenses. No advertising expenses or foreign travel expenses will be incurred without the prior approval of the client.

3. Terms

3.1 All invoices are payable within 30 days of the invoice date. The full fee for each placement is invoiced when a candidate formally accepts an offer of employment or an offer of a contract for services.

4. Guarantee

4.1 Subject to subparagraphs 4.2 and 4.3 in the event of a candidate introduced by Business-Paradigm Ltd leaving within 12 weeks of commencement of the candidates engagement, Business-Paradigm Ltd will carry out a further executive search or selection and produce to the client a further short list of candidates without charging any further fee.

4.2 Paragraph 4.1 shall only apply in the event that Business-Paradigm Ltd's invoice in respect of the initial introduction has been paid within the period provided by these conditions.

4.3 Paragraph 4.1 shall only apply upon the basis that the client agrees to reimburse Business-Paradigm Ltd with all further authorized advertising costs and all out-of-pocket expenses whether of Business-Paradigm Ltd or of candidates investigated.

4.4 In no circumstances will any part of Business-Paradigm Ltd's fee be refundable as a direct result of an introduced candidate leaving within 12 weeks of commencement of engagement.

5. Confidentiality

5.1 Clients undertake to respect the confidentiality of all documentation provided by Business-Paradigm Ltd on candidates. No responsibility can be accepted by Business-Paradigm Ltd if information in the client's possession or under his control is divulged which jeopardizes the good standing of the candidate, or leads to legal or other action candidate.

5.2 Candidate details are confidential. The passing on within one year of the date of the candidate presentation to the client of details to a third party which results in an engagement by other than the client renders the client liable to the payment of a further fee equal to the placement fee.

6. Clients Responsibility

6.1 The client will be responsible for obtaining work or other permits, for the arrangement of medical examination and/or investigations into the medical history of the candidate, and satisfy any medial or other requirements or qualifications required by law.

6.2 Business-Paradigm Ltd will endeavor to ensure the suitability of any candidate introduced to the client but it shall be for the client to satisfy himself as to the suitability of any candidate by interview and by such investigation as he sees fit to make.

6.3 Business-Paradigm Ltd shall not be liable under any circumstances for any loss damage or expense suffered or incurred by the client arising from or in any way connected with Business-Paradigm Ltd seeking a candidate for the client or the introduction by Business-Paradigm Ltd to the client of a candidate or the engagement of any candidate by the client.

7. Interpretation

7.1 Any contract to which these terms apply will in all respects be construed and operated according to English Law and will be subject to the jurisdiction of the English Courts.

7.2 No variations may be made in these terms without the written consent of a director of Business-Paradigm Ltd.
